INTERNATIONAL ASSOCIATION OF INNOVATIVE TEACHERS AND MANAGERS IN EDUCATION
STATUTES OF THE CIVIC ASSOCIATION
(pursuant to Act No. 83/1990 Coll. on Associations of Citizens, as amended)
Article 1 — Name, Registered Office, and Legal Form

The name of the civic association (hereinafter referred to as the Association) is
Medzinárodná asociácia inovatívnych učiteľov a manažérov vo vzdelávaní.
In foreign relations, the Association uses the English equivalent:
International Association of Innovative Teachers and Managers in Education (IAITME). -
Registered office:
E. Bohúňa 5390/57, 034 01 Ružomberok, Slovakia. -
The Association is a voluntary, independent legal entity of natural and legal persons active in education, established under Act No. 83/1990 Coll. Its purpose is to improve the quality of education and introduce innovation in the educational process.

Termination of the Association:

(a) Voluntary dissolution or merger with another civic association.

(b) Final decision on dissolution by the Ministry of the Interior of the Slovak Republic.
Before dissolution, property settlement and liquidation are conducted by a liquidator appointed by the Board of Directors (Presidency) or the court.

Article 2 — Objectives and Activities

Objectives of the Association:
a) Continuous improvement of educational quality.
b) Enhancing the attractiveness and social status of the teaching profession.
c) Introducing innovations in education. -
Activities include:
a) Creating a platform for mutual communication between education stakeholders.
b) Standardising norms for quality evaluation in education.
c) Supporting innovations in pedagogy and management.
d) Representing members’ common interests externally.
e) Building and maintaining contacts with national and international organisations.
f) Promoting information exchange nationally and internationally.
g) Conducting promotional activities in the education field.
h) Organising and implementing training courses, seminars, and conferences.
i) Ensuring professionalism among members and service quality.
Article 3 — Membership, Rights, and Obligations

Founding members:
Jana Chynoradská, Markéta Rusnáková, Branislav Kľuska.
At least one founding member must always be represented in the Presidency. -
Membership is voluntary and open to any individual or legal entity agreeing with these Statutes.

Membership establishment and termination:
-
Begins upon approval of an application by the competent authority.

Ends upon written or oral withdrawal, expulsion, dissolution of the Association, or death/termination of the member.

Rights of members:
-
Participate in Association activities.
-
Vote and be elected to Association bodies.
-
Submit ideas, complaints, and requests for opinion.

Be informed about decisions and activities.
-

Obligations of members:
-
Comply with the Statutes.
-
Contribute to fulfilling the Association’s goals.
-
Pay membership fees.
-
Protect and promote the Association’s property.

Article 4 — Bodies of the Association

The bodies are:
a) Presidency
b) Members’ Meeting
c) Supervisory Board -
Presidency:
-
Consists of a Chairperson (statutory representative) and four Vice-Presidents.
-
Responsibilities include:
a) Managing activities between general meetings.
b) Approving admission and expulsion of members.
c) Proposing activity plans and budgets.
d) Representing the Association externally.
e) Electing members for a 4-year term.
f) Adopting internal Rules of Procedure.
g) Taking decisions by absolute majority.

Members’ Meeting:

Supreme body of the Association, comprising all members.

Approves amendments to the Statutes, elects and dismisses other bodies, and adopts budgets and activity plans.

Decides on dissolution of the Association.

Quorum: absolute majority of members.

Regulated by its own Rules of Procedure.

Supervisory Board:
-
Usually three members elected by the Members’ Meeting.

Elects its own Chairperson (confirmed by the Presidency).

Meets at least once a year or upon request.
-
Oversees execution of resolutions and financial management.
-
May call a Members’ Meeting if significant issues are found.

Submits inspection reports to the Presidency within 60 days and an annual report to the Members’ Meeting.

Article 5 — Management and Property

The Association manages its own and entrusted property in accordance with applicable regulations.

Assets are used for operational costs and fulfilment of the Association’s objectives.

The annual budget, approved by the Members’ Meeting, forms the basis of financial management.

Sources of income:
a) Membership fees
b) Grants, subsidies, donations
c) Contributions from state or EU funds
d) Reimbursement of program and activity costs
e) Income from projects and educational activities
f) Copyright and related rights income
g) Other lawful income connected to the Association’s goals -
The Association’s financial management follows binding Slovak regulations for civic associations.
Article 6 — Final Provisions

These Statutes were adopted on 8 April 2024 by decision of the Preparatory Committee.

They enter into force and effect upon registration with the Ministry of the Interior of the Slovak Republic.
-
The Association is legally established on the day of its registration.
